2.partyashallconductdirection,supervisionandevaluationofpartyb'swork.

3.partyashallprovidepartybwithnecessaryworkingandlivingconditions.

4.partyashallprovideco-workers.

5.partyashallpaypartyb'ssalaryregularlybythemonth.

ⅵ

partyb'sobligations

1.partybshallobservethelaws,decreesandrelevantregulationsenactedbythechinesegovernmentandshallnotinterfereinchina'sinternalaffairs.

2.partybshallobservepartya'sworksystemandregulationsconcerningadministrationofforeignexpertsandshallacceptpartya'sarrangement,direction,supervisionandevaluationinregardtohis/herwork.withoutpartya'sconsent,partybshallnotrenderserviceelsewhereorholdconcurrentlyanypostunrelatedtotheworkagreedonwithpartya.

3.partybshallcompletethetasksagreedonscheduleandguaranteethequalityofwork.

4.partybshallrespectchina'sreligiouspolicy,andshallnotconductreligiousactivitiesincompatiblewiththestatusofanexpert.

5.partybshallrespectthechinesepeople'smoralstandardsandcustoms.

ⅶ

revision,cancellationandterminationofthecontract

1.bothpartiesshouldabidebythecontractandshouldrefrainfromrevising,canceling,orterminatingthecontractwithoutmutualconsent.

2.thecontractcanberevised,canceled,orterminatedwithmutualconsent.beforebothpartieshavereachedanagreement,thecontractshouldbestrictlyobserved.

3.partyahastherighttocancelthecontractwithawrittennoticetopartybunderthefollowingconditions;

(1)partybdoesnotfulfillthecontractordoesnotfulfillthecontractobligationsaccordingtothetermsstipulated,andhasfailedtoamendafterpartyahaspointeditout.

(2)accordingtothedoctor'sdiagnosis,partybcannotresumenormalworkafteracontinued30daysickleave.

4.partybhastherighttocancelthecontractwithawrittennoticetopartyaunderthefollowingconditions:

(1)partyahasnotprovidedpartybwithnecessaryworkingandlivingconditionsasstipulatedinthecontract.

(2)partyahasnotpaidpartybasscheduled.

breachpenalty

wheneitherofthetwopartiesfailstofulfillthecontractorfailstofulfillthecontractobligationsaccordingtothetermsstipulated,thatis,breaksthecontract,itmustpayabreachpenaltyofus$500to2,000(ortheequivalentinrmb).

ifpartybaskstocancelthecontractduetoeventsbeyondcontrol,itshouldproducecertificationsbythedepartmentconcerned,obtainpartya'sconsent,andpayitsownreturnexpenses;ifpartybcancelsthecontractwithoutvalidreason,itshouldpayitsownreturnexpensesandpaybreachpenaltytopartya.ifpartyaaskstocancelthecontractduetoeventsbeyondcontrol,withtheconsentofpartyb,itshouldpaypartyb'sreturnexpenses;ifpartyacancelsthecontractwithoutvalidreason,itshouldpaypartyb'sreturnexpensesandpayabreachpenaltytopartyb.

ⅸtheappendixofthiscontractisaninseparablepartofthecontractandhasequaleffect

ⅹthiscontracttakeseffectonthedatesignedbybothpartiesandwillautomaticallyexpirewhenthecontractends.ifeitherofthetwopartiesasksforanewcontract,itshouldforwarditsrequesttoanotherparty90dayspriortotheexpirationofthecontract,andsignthenewcontractwithmutualconsent.partybshallbearallexpensesincurredwhenstayingonafterthecontractexpires.arbitration

thetwopartiesshallconsultwitheachotherandmediateanydisputeswhichmayariseaboutthecontract.ifallattemptsfail,thetwopartiescanappealtotheorganizationofarbitrationforforeignexpertsaffairsinthestateadministrationofforeignexpertsaffairsandaskforafinalarbitration.
